Dyna-Mac Holdings: Revised Voluntary Conditional Cash Offer at S$0.67 Per Share

The voluntary conditional cash offer for all issued and paid-up shares of Dyna-Mac Holdings Ltd. has been revised from S$0.60 to S$0.67 per share as of October 14, 2024.

The offer is made by United Overseas Bank Limited on behalf of Hanwha Ocean SG Holdings Pte. Ltd. Hanwha Ocean and Hanwha Aerospace collectively hold 25.36% of the company’s shares.

The closing date for the offer has been extended to November 6, 2024.

The offeror has announced that the S$0.67 per share is the final offer price unless a competitive situation arises.

Shareholders who have already accepted the initial offer will automatically receive the revised final offer price. No additional action is required.

ZICO Capital Pte. Ltd. has been appointed as the Independent Financial Adviser to provide recommendations to shareholders.

Any shareholder who accepts the offer and is eligible for dividends declared after the offer announcement date will have the offer price adjusted accordingly.

Investors should take note that the current offer price represents a premium of 21.2% over the last traded price of S$0.495.

Investors are advised to refrain from taking immediate action until they receive the Independent Directors’ recommendation.
