Keppel DC REIT’s Ambitious Equity Fund Raising Shakes Up Market

Keppel DC REIT has announced a robust equity fund-raising initiative, aiming to raise gross proceeds of approximately S\$1.1 billion. This significant move, detailed in their latest announcement, involves a Private Placement, a Preferential Offering, and a Sponsor Subscription, with the combined effort expected to substantially influence the Trust’s market position and share value.

Key Details of the Fund-Raising

The Private Placement has been executed with a remarkable 3.4 times coverage, indicating strong demand from institutional and accredited investors globally. The issue price per Private Placement New Unit is set at S\$2.090, representing a discount compared to the recent market prices, aimed to attract significant investor interest.

Strategic Use of Funds

The funds raised will be primarily directed toward the financing of proposed Shares and Notes Transactions, debt repayment, refinancing, and capital expenditure initiatives. Specifically, about 94.4% of the funds from the Private Placement and Preferential Offering will be used for these purposes, signaling a strategic focus on growth and financial stability.

Shareholder Impact and Market Sensitivity

This fund-raising activity is pivotal, as it not only impacts the share value through dilution but also reflects the Trust’s future growth strategies. Shareholders should note the pricing discounts for new units and the strategic allocation of proceeds, which are likely to influence the Trust’s financial health and market perception.

Regulatory and Compliance Considerations

The issuance of new units falls within the General Mandate, negating the need for prior Unitholder approval. However, the completion of the Proposed Shares and Notes Transactions will require Unitholder consent, adding a layer of regulatory compliance to the proceedings.

Market Entry and Trading

The trading of Private Placement New Units on the Singapore Exchange is anticipated to commence on 28 November 2024. This timeline is critical for investors tracking the market impact of this significant equity movement.

Keppel DC REIT’s ambitious equity fund-raising strategy highlights its commitment to growth and financial robustness, making it a key area of interest for investors and market analysts alike.
