Atlantic Navigation Holdings (Singapore) Limited has made crucial announcements regarding its financial structure that could impact shareholder value. The company has confirmed the effective date for its Proposed Capital Reduction as November 27, 2024, after lodging necessary documents with the Accounting and Corporate Regulatory Authority of Singapore (ACRA).

The capital reduction, amounting to S\$83.25 million (approximately US\$62.00 million at the exchange rate of US\$1.00 to S\$1.3428), reflects a strategic adjustment of the company’s issued and paid-up capital. This reduction translates to a substantial payout to shareholders of S\$0.1590 per share as part of the Proposed Cash Distribution.

Additionally, a one-tier tax-exempt special interim dividend is set to distribute US\$58.00 million, equivalent to S\$77.88 million or S\$0.1488 per share, based on the same exchange rate. These financial maneuvers are part of the company’s broader strategy to optimize shareholder returns.

Shareholders should note the clarification in the company’s share capital, with differences noted between the FS Paid-Up Capital used for financial reporting and the ACRA Paid-Up Capital filed with regulatory authorities. The FS Paid-Up Capital, recorded in US dollars, will decrease from US\$111.47 million to US\$49.47 million, while the ACRA Paid-Up Capital in Singapore dollars will adjust from S\$209.71 million to S\$126.46 million.

The company attributes the discrepancy in share capital figures to historical corporate exercises and changes in functional currency, including a significant reverse takeover transaction completed in 2012. This adjustment may influence the perceived valuation and operational transparency, potentially impacting market perceptions and share price volatility.
