YTL Cement’s Strategic Move: NSL LTD. Share Acquisition Implications

YTL Cement’s Strategic Move: NSL LTD. Share Acquisition Implications

YTL Cement Berhad has made a significant advancement in its acquisition strategy by securing approval for the transfer of a substantial portion of ordinary shares from NSL LTD. This move, which involves the transfer of shares to YTL Cement and its related entities, has been sanctioned by the holders of at least 90% in nominal value of NSL LTD.’s shares as of November 6, 2024.

Specifically, a total of 36,517,573 shares were successfully transferred to YTL Cement between October 11, 2024, and November 14, 2024. This strategic acquisition means that YTL Cement now holds a critical mass of shares, amounting to nine-tenths of the total nominal value of NSL LTD.’s ordinary shares.

For non-assenting shareholders of NSL LTD., this development is crucial. They are now presented with an opportunity to require YTL Cement to acquire their remaining shares. This must be done within three months from the date of this notice, December 5, 2024. The acquisition will occur under the same terms that were applicable to the approving shareholders or under terms deemed appropriate by the General Division of the High Court.

This notice could influence NSL LTD.’s share price as it highlights a significant consolidation by YTL Cement, which could potentially affect market dynamics and shareholder decisions. Stakeholders should closely monitor the situation and assess the potential impacts on their investments.

As the transfer of shares progresses, shareholders and market participants should stay informed about any further developments that could influence share valuations and the strategic direction of NSL LTD. under YTL Cement’s influence.
